Terms of Service

By accessing or using the Services you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

Some Services require an account. You agree to provide accurate registration information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for activity on your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account on your own behalf.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights.
• Create or operate a digital human that impersonates a real person without their documented, informed, scope-limited consent.
• Generate, distribute, or facilitate content that is unlawful, defamatory, deceptive, or that exploits or endangers minors.
• Interfere with the integrity or performance of the Services, attempt to gain unauthorized access, probe vulnerabilities outside the scope of a coordinated disclosure program, or evade rate limits and security controls.
• Use the Services to train competing AI products or to systematically extract data from the platform.

We may suspend access to address violations or to mitigate harm while a matter is investigated.

Where a digital human is built on the likeness or voice of a real person, you represent that you have obtained, and continue to hold, all rights, consents, and clearances necessary to use that likeness or voice in the manner deployed. Consent must be explicit, revocable, and scope-limited.

P3 Labs may decline to build or operate personas where the rights chain is unclear or where the proposed use is inconsistent with applicable law, industry guidance (including, where relevant, the SAG-AFTRA 2023 framework), or our policies.

Our IP. The Services, including the platform software, models, designs, documentation, and the P3 Labs marks, are owned by P3 Labs and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services as described in your agreement with us. No other rights are granted by implication.

Your content. You retain ownership of the content you provide — knowledge bases, brand assets, scripts, and other inputs. You grant P3 Labs the rights necessary to host, process, and display your content to operate the Services on your behalf. We do not use your content to train P3 Labs models without your explicit, written consent.

Feedback. If you share suggestions or feedback about the Services, you grant us a non-exclusive, royalty-free license to use that feedback to improve the Services without obligation to you.

We work to keep the Services available, but we do not guarantee uninterrupted operation. Specific availability and support commitments, where offered, are set out in the MSA or a separate service level addendum between P3 Labs and the customer. We may modify, suspend, or discontinue features of the Services from time to time; for material changes affecting paying customers, we will provide reasonable advance notice in line with the MSA.

Fees, payment terms, taxes, and renewal terms for paid Services are set out in the order form or MSA executed with the customer. Free-tier or evaluation access, where offered, may be modified or terminated at our discretion.

Each party may receive confidential information of the other in connection with the Services. The receiving party will use the confidential information only as needed to exercise its rights and perform its obligations under these Terms and the MSA, and will protect it with at least the same degree of care it uses to protect its own confidential information of similar sensitivity (and no less than reasonable care). Customer data is treated as customer confidential information.

Except as expressly stated in the MSA, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, P3 Labs disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Outputs of generative AI components may contain errors or omissions; you are responsible for reviewing outputs before relying on them in high-stakes settings.

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, revenues, or data, arising out of or related to these Terms or the Services. The aggregate liability of each party, except for specific carve-outs identified in the MSA, will be capped as set out in the MSA.

You agree to defend, indemnify, and hold harmless P3 Labs and its officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your violation of any law or third-party right, or your use of the Services outside their intended scope. P3 Labs' indemnification obligations to customers, if any, are set out in the MSA.

We may suspend or terminate your access to the Services if you breach these Terms or the MSA, or if continued provision would expose P3 Labs or another party to a meaningful legal or security risk. Upon termination, the rights granted to you under these Terms end, except for provisions that by their nature survive (including intellectual property, confidentiality, disclaimers, limitations of liability, and indemnification).

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Each party submits to the exclusive jurisdiction of the state and federal courts located in Orange County, California for any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent revision. For material changes affecting paying customers, we will provide notice in line with the MSA. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
